1) Definitions
Client or you: the purchaser named on the ILG quote/invoice.
Products: furniture, lighting, and any goods sourced by ILG.
Bespoke/Custom: made-to-order goods (built-ins, chandeliers, special finishes, non-standard sizes).
Services: procurement, project coordination, logistics, delivery, installation, and related support.
Quote: ILG’s written, all-inclusive USD price proposal (validity period applies).
2) Scope of Services
ILG acts as your single point of contact for sourcing top Italian brands and manufacturing bespoke built-ins in Italy, including factory-priority order processing, weekly progress updates, in-Italy quality control, insured freight, customs handling, and white-glove delivery/installation in the U.S.
3) Quotes, Pricing & Validity
- Quotes are all-inclusive in USD unless otherwise stated (goods, export packaging, ocean/air freight where indicated, insurance, customs brokerage, and white-glove delivery if included).
- Quotes are typically valid for 30 days and may be updated thereafter for exchange rates, carrier surcharges, materials, or changes in duties/taxes.
- Transparent pricing / minimal service margin. Our model prioritizes lowest total cost without compromising quality or support.
4) Best-Price Guarantee
If you receive a comparable written quote (same brand, model/specs, finish, quantity, delivery scope, and timeline) inclusive of shipping and taxes, share it with ILG before placing the order and we will aim to match or beat the total price or explain why the quotes are not comparable. Exclusions: clearance, used, store displays, misprints, expired offers, or quotes lacking full logistics and delivery.
5) Orders, Approvals & Changes
- An order is accepted when ILG issues an Order Confirmation after receiving the required deposit.
- For bespoke items, the Client must approve shop drawings, finishes, and measurements in writing. Production begins only after approvals.
- Change Orders after approval may affect pricing and lead times.
6) Payments
- Deposit: as specified on the quote/invoice (typical ranges: standard products 50%; bespoke built-ins 60–70%).
- Balance: due when your delivery date is scheduled (prior to delivery).
- Payments are in USD by wire transfer, ACH, or card (card fees, if any, will be stated in the quote).
- Title retention: ILG retains title to goods until paid in full. Late balances may incur storage/handling charges.
7) Currency, Duties & Taxes
- Prices are issued in USD. Once the deposit is received, ILG locks the commercial terms in your Order Confirmation.
- Unless otherwise stated, applicable sales/use taxes, import duties, and local fees are the Client’s responsibility. If included, the quote will say so explicitly.
8) Production, Lead Times & Delays
- Lead times are estimates from manufacturers and depend on approvals, materials availability, and production schedules.
- ILG provides weekly updates.
- ILG is not liable for delays caused by force majeure, factory shutdowns, port congestion, carrier disruptions, customs inspections, or events beyond reasonable control (see §19).
9) Delivery, Site Readiness & Installation
- White-glove delivery (if included) typically covers: appointment scheduling, room-of-choice placement, unpacking, basic assembly, and debris removal. It excludes electrical/plumbing, wall/ceiling alterations, hard-wiring of lighting, and structural work.
- Site readiness is the Client’s responsibility: clear access, finished flooring, elevators booked where required, permits, and safe conditions for installers.
- Missed appointments, refused deliveries, difficult access (stairs, hoists, narrow doorways), or special handling may incur additional charges.
- If installation is provided, ILG (or its subcontractors) will perform standard assembly per manufacturer guidelines. Electrical work must be done by a licensed electrician.
10) Risk of Loss & Title
- Goods are shipped insured to the delivery location listed on the Order Confirmation. Risk of loss transfers to the Client upon delivery; title transfers upon cleared final payment (§6).
11) Inspection & Claims
- At delivery, inspect packaging and goods. Note any visible damage or shortages on the carrier’s paperwork before signing.
- Concealed damage must be reported to ILG in writing within 48 hours of delivery with photos/video; retain packaging.
- ILG will coordinate repair, replacement, or parts with manufacturers/logistics per the insurance policy and factory procedures. Remedies are limited to repair/replacement or delivery of missing parts.
12) Storage
- If delivery is postponed at Client’s request beyond the agreed window or if the site is not ready, ILG may arrange storage. Storage and re-delivery fees apply at the provider’s published rates.
13) Cancellations, Returns & Refunds
- Bespoke/custom orders are final sale, non-cancellable, and non-returnable once approved.
- Standard products may be cancellable before factory acknowledgment; fees may apply. After acknowledgment, cancellations follow factory policy.
- Returns (if permitted) require ILG’s written authorization, original packaging, and may be subject to restocking fees and round-trip freight.
14) Warranties
- Manufacturer warranties apply to Products; ILG facilitates claims. Warranty remedies are typically repair or replacement of defective parts.
- Warranties are void if damage arises from misuse, improper installation by third parties, alterations, site conditions (humidity, temperature), or lack of maintenance.
15) Natural Materials & Finishes
- Wood, stone, leather, and hand-applied finishes may exhibit natural variation in color, grain, veining, or sheen. Dye lots may differ between production batches. Such variations are not defects.
16) Measurements, Drawings & Site Conditions (Built-Ins)
- Client (or Client’s designer/contractor) must provide or confirm field measurements.
- ILG produces shop drawings for approval. Production proceeds only after written approval.
- Any variance between drawings and site conditions may require adjustments (and additional costs) to achieve fit and finish.
17) Third-Party Professionals & Permits
- Client is responsible for permits, approvals, and code compliance for electrical, plumbing, ventilation, seismic anchoring, and other regulated work.
- ILG can coordinate with architects, designers, and contractors but is not the permit holder unless specifically contracted in writing.
18) Photography & Portfolio
- ILG may photograph completed installations for its portfolio and marketing. If you prefer privacy, notify us in writing before delivery/installation and we will refrain or anonymize.
19) Force Majeure
ILG is not liable for delays or failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, extreme weather, strikes, lockouts, war, civil disturbances, pandemics, governmental actions, factory closures, port congestion, carrier failures, material shortages, or utility outages. Performance resumes once the event ends.
20) Limitation of Liability
To the maximum extent permitted by law, ILG’s aggregate liability is limited to the amount paid for the specific Products/Services giving rise to the claim. ILG is not liable for indirect, incidental, consequential, special, or punitive damages, including loss of use, profit, or business opportunity.
21) Trade Clients (Designers/Architects)
Where the Client is a trade professional, additional Trade Program terms may apply (net pricing, tax documents, approvals, and responsibilities to the end client). In case of conflict, these Sales Terms prevail unless ILG agrees otherwise in writing.
22) Privacy & Communications
By transacting with ILG, you consent to receive operational communications (quotes, updates, scheduling) by email/phone/video. ILG’s Privacy Policy governs personal data.
23) Dispute Resolution, Governing Law & Venue
These Terms are governed by the laws of the State of [California or Florida — select one], without regard to conflicts of law. The exclusive venue for disputes is the state or federal courts located in [Los Angeles County, CA or Miami-Dade County, FL — select one]. Each party waives any objection to personal jurisdiction and venue in those courts. (Optional: parties may agree in writing to private arbitration for specific disputes.)
24) Entire Agreement; Amendments; Severability
These Terms, together with the Quote/Order Confirmation and any approved drawings, form the entire agreement between the parties and supersede prior discussions. Any amendment must be in writing and signed/acknowledged by ILG. If any provision is held unenforceable, the remainder remains in effect.
